Terms of Sale and End-User License

These terms ("Terms") govern your purchase and use of ParcelAudit, including the desktop software, updates, license key, and the included playbook, scripts and templates (together, the "Product"). The Product is provided by Audit Tools ("we", "us"). By checking the acceptance box at checkout, or by installing or using the Product, you agree to these Terms.

1. Who sells the Product

Orders are processed by Lemon Squeezy, our online reseller and Merchant of Record. Lemon Squeezy's own buyer terms apply to the payment transaction, and Lemon Squeezy collects any applicable sales tax. We are responsible for the Product, the license and support.

2. Who may buy

The Product is intended for individuals and businesses who use it to audit parcel carrier invoices, primarily for shippers in the United States and Canada. You must be at least 18 years old and able to enter a binding contract.

3. Price and delivery

The price is shown at checkout in US dollars as a one-time payment, plus any tax calculated by Lemon Squeezy. After payment you receive by e-mail: a license key, links to download the installers for Windows and macOS, a link to the install guide, and the included materials. You ask us to deliver the Product immediately after payment.

4. License

Subject to these Terms and payment in full, we grant you a perpetual, non-exclusive, non-transferable license to:

You may not: resell, sublicense, rent, lend, share or publish the software, the license key or the playbook and materials as a product; give your key to anyone else or let multiple people use one license; remove license checks; reverse engineer the software except where the law expressly allows it; or use the Product for any unlawful purpose.

A license is for one person. A business with several users needs one license per user.

5. Updates and support

Your purchase includes 12 months of software updates and technical support by e-mail, starting on the purchase date. After that period, versions released during it keep working permanently; newer versions released later may require a renewal if we offer one. Support covers installation, activation and use of the software; it does not include running audits for you, legal or tax advice, or finding clients.

7. No earnings guarantee

We do not promise that you will sign clients, find recoverable errors, or earn any amount. Any examples, calculators or benchmarks are illustrations based on synthetic data or your own assumptions. Your results depend on your market, effort, skills, clients' data and carrier terms.

8. Refunds

All sales are final except as described in our Refund Policy, which forms part of these Terms.

9. Third-party services

The software works offline. Optional AI features send data to Google's Gemini API using an API key that you provide, under your own agreement with Google. We are not responsible for third-party services.

10. License revocation

If your payment is refunded or reversed (including through a chargeback), or you materially breach Section 4, your license ends and the key is deactivated in current and future versions of the software. We may also deactivate keys that have been published or shared.

11. Intellectual property

The Product is licensed, not sold. We and our licensors keep all rights not expressly granted. UPS, FedEx and other carrier names are trademarks of their owners; ParcelAudit is not affiliated with or endorsed by them.

12. Warranty disclaimer

We will fix defects as described in the Refund Policy. Except for that commitment and to the maximum extent permitted by law, the Product is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement. We do not warrant that the software will detect every billing error or that carriers will approve any claim.

13. Limitation of liability

To the maximum extent permitted by law, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, clients, data or goodwill, and our total liability for any claim relating to the Product is limited to the amount you paid for it. Some jurisdictions do not allow certain limitations, so some of them may not apply to you.

14. Changes

We may update these Terms for future purchases. The version you accepted at checkout, which we record with your order, continues to apply to your purchase.

15. Governing law and disputes

These Terms are governed by the laws of Poland, without regard to conflict-of-law rules. This does not deprive you of the protection of mandatory consumer laws of the place where you live. Before starting any formal dispute, please contact us so we can try to resolve it.
